| The Affiliate Membership is a fee-based program offered by HDB that provides users access to the services and facilities available on www.hbiz.com.sg. Users who have successfully applied for the Affiliate Membership will be referred to as "Members" in the following terms and conditions. |

| 1 | Eligibility | |
| 1.1 | Only companies with Singapore-registered business address are eligible to apply for the Affiliate Membership. Successful applicants may make use of the services on www.hbiz.com.sg. | |

| 3 | Membership Terms | |
| 3.1 | Applicants must provide and maintain true, accurate, current and complete information in their registration application. If any of the information in the application is untrue, inaccurate, or incomplete; HDB reserves the right to suspend or terminate the account and refuse any and all current or future use of the Service (or any portion thereof). | |
| 3.2 | Upon successful application, a membership number will be assigned to the Member. A temporary userid & password will also be sent by snail mail to the corresponding address provided. The Member must login to his account upon receipt of his temporary userid and password so as to both acknowledge receipt of the temporary userid and password and also to activate his affiliate membership account. Only when the Member has successfully logged in is the Member eligible to make use of the services on www.hbiz.com.sg. The member will then be prompt to change his temporary userid and password to a SingPass ID and password. | |
| 3.3 | The Affiliate Membership is non-transferable and non-assignable. | |
| 3.4 | All members will automatically qualify for any future enhancements, facilities to the modules under the packages subscribed to. | |
| 3.5 | HDB shall have the right at any time to modify, suspend or discontinue any aspect or feature of www.hbiz.com.sg, including, but not limited to, content, hours of availability, and online facilities for access or use without giving notice to the Member of such modification, suspension or discontinuation. HDB shall not be liable to the Member or to any third party for any modification, suspension or discontinuance of the Service. | |
| 3.6 | The member shall be responsible for all use of his/her Account, including but not limited to the safekeeping of his temporary userid and password or SingPass. The Member shall also ensure that all use of his Account complies fully with the provisions of the agreements tied to the use of the services. Subject to section 3.8, the Member is solely responsible for any unauthorized use of his account, and shall not claim from HDB any losses or damages suffered by him as a result of the unauthorized use. | |
| 3.7 | The member may not under any circumstances release his/her temporary user-id or SingPass to any other person and shall ensure that he/she exits from his/her Account at the end of each login session. The member is also required to keep his or her user-id strictly confidential. | |
| 3.8 | Unauthorized access to the site is a breach of this agreement. If any breach of security, theft or loss of userid/password or unauthorized disclosure of userid/password occurs, the member must immediately notify HDB either in writing or from a well-authenticated e-mail account. The member will remain liable for unauthorized use of service until HDB is notified of the security breach. | |
| 3.9 | In the event that the member lost or forgot his/her temporary userid or password, the Member shall notify HDB immediately about it. Upon receipt of such notice from the Member, HDB will reset the temporary userid and password accordingly. The reset temporary userid and password shall be sent to the registered corresponding address. | 3.10 | Membership is for 12 months and is renewable on an annual basis, upon the payment of a renewal fee as set by HDB. | |
| 3.11 | Subscription to the Service may be terminated at any time, and without cause, by HDB or the member upon notification of the other by email, telephone or fax. When termination is requested by a member or when the Account is terminated due to any fault on the part of the Member, subscription fees is NOT refundable. | |
| 3.12 | Members may not use the Web Site to transmit, distribute, store or destroy material (a) in a manner that is in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights that do not belong to them or violate the privacy, publicity or other personal rights of others, or (c) that is defamatory, obscene, threatening, abusive or hateful, seditious, or prejudicial to the national security interests of Singapore The Member's account will be automatically terminated if the member breaches any of the above terms. | |
| 3.13 | Members are prohibited from violating or attempting to violate the security of the Web Site, including, without limitation, (a) accessing data not intended for such user or logging into a server or account which the user is not authorized to access, (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures, (c) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Web Site, overloading, "flooding", "spamming", "mail bombing" or "crashing", (d) sending unsolicited e-mail, including promotions and/or advertising of products or services, Violations of system or network security may result in civil or criminal liability. The Member's account will be automatically terminated if the member breaches any of the above terms. | |
| 3.14 | The following website linkages will not be allowed - Sites containing pornographic material, sites with links to pornographic sites, sites encouraging illegal activity or racism, sites that contain seditious content against the national security interests of Singapore, sites providing instructions or discussions about performing illegal activities, sites that promote or utilize software or services designed to deliver unsolicited emails, sites that are regarded by HBiz administrator to be inappropriate. |

| 4 | Warranties, Indemnities and exclusion of Liability | |
| 4.1 | HDB retains the rights to refuse applications without giving reasons whatsoever and to cancel the membership at any given moment. | |
| 4.2 |
HDB shall not be held liable for any claims, losses, costs, expenses, damages or loss that may occur from the unavailability of the services whether foreseeable or not and whether arising form any act or omission on the part of HDB or howsoever arising from the use of the services. |

| 4.3 | The Member shall indemnify HDB in full and hold HDB harmless, at all times, from any claims, demands, criminal prosecution, expenses, losses, legal costs suffered or incurred by HDB or any other third parties howsoever arising from or in connection with any access and use of the services and facilities on www.hbiz.com.sg through his userid account, whether authorized or unauthorized. | |
| 4.4 | HDB makes no warranty or representation in respect of, nor does it endorse any product, service, links or other matter whatsoever put up by the member in his/her use of the services. | |
| 4.5 | The Member shall not reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service, without the consent of HDB. | |
| 5 | Others | |
| 5.1 | Users of service agree that their membership information, web site linkage, web information may be utilized by HDB e.g. in promotional materials. | |
| 5.2 | HDB reserves the rights to modify or change the above Terms and Conditions from time to time without any prior notification at its absolute discretion. | |
| 5.3 | HBiz and the HBiz logo are trademarks of Industrial Properties Department, Housing & Development Board. Without prior permission, the member/applicant shall not display or use them in any manner | |
| 5.4 | By applying for the Affiliate Membership to www.hbiz.com.sg, the applicant agree to be bound by the above Terms & Conditions of Service as well as other legal documentaries governing the use of the services namely privacy policy, user agreement as well as any other additional terms & conditions that may be subsequently added or that may be peculiar to certain areas of the website only. | |
